Job Description

We're hiring for Company Secretary (CS) for Chennai Location. Company Secretary & Compliance Officer About We are seeking a highly competent and detail-oriented Company Secretary (CS) for a Non-Banking Financial Company (NBFC) to manage corporate governance, board & committee meetings, and ensure regulatory compliance with RBI, ROC, SEBI, and BSE/NSE. The ideal candidate should have experience in handling secretarial functions and ensuring adherence to NBFC-specific regulations. Key Responsibilities: Board & Committee Meetings Organize and conduct Board and Committee Meetings in compliance with statutory guidelines. Prepare and circulate agendas, notices, and board meeting materials in advance. Record and draft Minutes of Meetings and track follow-up actions. Schedule and coordinate meeting-related events, including board meeting dispatch dates. Oversee and manage the VC (Video Conferencing) and E-voting processes efficiently. Regulatory Compliance & Filings Ensure timely filing of statutory documents and reports with ROC, RBI, SEBI, and BSE/NSE, including: Annual returns, financial statements, and changes in company details. Post-Board Meeting / General Meeting filings to relevant authorities. Quarterly / Half-yearly regulatory filings as per NBFC compliance norms. Ensure compliance with RBI guidelines, including periodic returns and reporting obligations. Maintain updated statutory records and registers in accordance with NBFC regulations and Companies Act. Coordinate with auditors and regulatory authorities for inspections and compliance-related matters. Documentation & Coordination Prepare and manage meeting-related documents, resolutions, and approvals. Follow up for necessary approvals and supporting documents from stakeholders. Ensure adherence to NBFC-specific regulatory guidelines issued by RBI. Liaise with RBI, ROC, SEBI, Stock Exchanges, and other regulatory authorities for necessary approvals and filings. Knowledge: Strong understanding of Companies Act, RBI NBFC Regulations, SEBI Listing Regulations, and FEMA guidelines. Experience in handling RBI filings, SEBI compliance, and stock exchange disclosures. Skills: Excellent organizational, analytical, and communication skills. Strong attention to detail and ability to manage multiple regulatory filings. Proficiency in MS Office (Word, Excel, PowerPoint) and compliance-related software. Preferred Qualifications: 2-5 Years of experience. Prior experience in NBFC / BFSI / Listed Company.
