Job Profile: Company Secretary Role Description This is a full-time on-site role for a Company Secretary at New Horizons Alliance Private Limited. We are seeking a highly organized and detail-oriented Company Secretary to join our team. As a Company Secretary, you will be responsible for ensuring the smooth administration of our company’s legal and regulatory requirements. You will work closely with the board of directors, senior management, and various stakeholders to ensure compliance with statutory and regulatory obligations. Roles & responsibilities: Manage and maintain statutory registers and records, including but not limited to shareholders, directors, and annual returns. Organize board meetings and general meetings, prepare agendas, recording minutes, and follow up on action points. Ensure compliance with corporate governance principles and provide guidance to the board on governance matters. Ensure the company's adherence to its Articles of Association (or equivalent constitutional documents) and relevant corporate governance codes. Prepare and file statutory forms and returns with regulatory authorities. Manage share transfers and other shareholder-related activities. Advise on legal and regulatory matters affecting the company, including changes in relevant legislation. Draft and review legal documents, contracts, and agreements as required. Monitor changes in relevant legislation and the regulatory environment and take appropriate action. Handle queries and correspondence related to company secretarial matters. Monitor and assess emerging governance trends and regulatory changes and proactively implement necessary updates to policies and procedures. Ensure the security and confidentiality of all corporate documents and information. Requirements: Qualified Company Secretary with minimum 3 years of relevant experience. Bachelor’s degree in Law, Business Administration, LLB preferred. Sound knowledge of corporate law, governance practices, and regulatory requirements. Excellent organizational and time-management skills. Strong attention to detail and accuracy. Ability to work effectively under pressure and meet deadlines. Excellent communication and interpersonal skills. Proactive approach to problem-solving and decision-making. Proficiency in MS Office and company secretarial software/tools. Location: Lower Parel (W), Mumbai. Remuneration: As per industry standards.
