We are looking for a qualified

Key Responsibilities:

Ensure end-to-end compliance under the

Companies Act, 2013

and

SEBI Regulations
Draft notices, agendas, resolutions, and minutes for Board, Committee, and General Meetings
Maintain statutory registers and records as per legal requirements
Prepare and file forms and returns with

MCA (ROC)

and other regulatory bodies
Support due diligence, investment structuring, and portfolio company secretarial compliance
Assist in the preparation and filing of shareholder agreements and investment-related documents
Coordinate with internal teams, legal advisors, auditors, and regulators
Ensure timely and accurate reporting of disclosures and filings under SEBI and RBI norms
Maintain compliance calendar and track all regulatory deadlines
Assist in governance reporting, board pack preparation, and internal secretarial audits

Skills & Competencies:

Strong understanding of

corporate law, SEBI (LODR), FEMA, and RBI regulations
Exposure to VC/PE transactions, term sheets, and investment documents is preferred
Excellent communication, legal drafting, and stakeholder management skills
Hands-on experience with

MCA21 portal, XBRL filings, and board documentation
Ability to work independently, with attention to detail and strong organization skills
