Role & responsibilities Qualification: LLB in Law or Masters in Law from an accredited college or university Total Experience Required: 4Years or more in corporate law firm Summary: Experienced lawyer(s) with a strong understanding of the regulatory and legal framework. Individuals with a background in compliance-related work and an understanding of rules, regulations of clients and intermediaries. Job Description Review, draft and negotiate legal research, data privacy compliance, RBI regulatory compliance. Ensure the company complies with applicable laws, fintech regulation and internal policies. Continually developing and improving legal team processes, compliance-related processes, contract templates, best-negotiating practices, etc. Assisting with the development of policies, procedures, and controls. Participate in legal and other compliance-related projects. Research and analyze laws, regulations, and rules to assess applicability and impact on the client. Provide written summaries of legal and regulatory developments to programme stakeholders, including the Legal Department, the business, and other corporate functions, and advise on such developments as needed. Develop subject matter expertise on products and services offered by Invest India as required. To provide professional legal advice, legal leadership, strategy, and risk management through knowledge experience and help develop compliance systems and processes for clients. To provide and set strategic direction, sound balanced legal advice on a wide range of matters. To advise on employment-related issues such as termination, severance, mutual separation, outsourcing arrangements, employment templates. To ensure that all material legal and compliance-related issues are approved in accordance with policies and guidelines. Review and participate in the negotiation review and approval of contracts. To pro-actively ensure compliance in all areas of laws and contractual agreements and have preventive measures in place. To ensure the legality of all significant contracts entered in particular with respect to third-party contractors, distributors, purchasing, employment, compensation, etc. Identifying work to be outsourced, selection and management of external lawyers, their fee arrangements, and service levels. When the event requires the appointment of external lawyers, to instruct external lawyers, manage and liaise with them. To assist in any other actions deemed necessary by management in dayto- day functioning. Skills Excellent command of both spoken and written English, working proficiency in Hindi is an advantage. Experience in providing legal counsel on complex corporate, commercial, and fintech regulatory matters. Experience drafting, review and negotiating broad range of agreements. Initiative and creativity in seeking solutions to problems. Demonstrated ability to interpret and apply Indian financial regulations and deep understanding of RBI regulations, data protection laws, and fintech business models. Strong compliance orientation, with practical knowledge of regulatory frameworks and governance standards. Ability to work independently and as part of a diverse team, while managing multiple priorities, and drive outcomes under pressure. Strong drive and commitment to deliver results. Strong organizational and leadership abilities, with a demonstrated commitment to client service and results. Key Responsibilities: 1. Regulatory Compliance & Advisory Advise clients on legal and regulatory requirements under RBI and other financial sector regulations applicable to fintech entities. Monitor regulatory developments and provide proactive guidance to clients on evolving fintech regulations (e.g., payments, lending, digital banking, NBFC norms). Provide written updates and impact assessments to stakeholders on material legal and regulatory changes. 2. Transactional & Contractual Support Review, draft, and negotiate a wide range of commercial and technology-related contracts, including platform agreements, service arrangements, and outsourcing contracts. Develop and maintain standard templates, negotiation playbooks, and risk assessment matrices. Ensure legal and regulatory compliance in client contracts, especially those involving third-party vendors, customers, and financial service providers. 3. Data Protection & Privacy Advise clients on data privacy laws including the Digital Personal Data Protection Act (DPDPA), IT Act, and global data regulations where applicable. Assist in developing internal privacy policies and data governance frameworks. 4. Internal Process Improvement Support the design and implementation of legal and compliance processes, internal controls, and legal risk mitigation strategies for fintech clients. Contribute to internal knowledge management initiatives, including legal updates, training, and best practice sharing. 5. Policy & Governance Support Assist clients in drafting internal governance documents, compliance policies, and SOPs across fintech functions such as AML/KYC, grievance redressal, and cyber security. Provide strategic legal input on policy frameworks and risk mitigation measures. 6. Employment Law Advisory Advise clients on employment law issues including hiring documentation, separation agreements, and employee classification for platform-based businesses. 7. Cross-functional Collaboration & Special Projects Participate in cross-practice or cross-border matters and strategic projects involving fintech innovation, corporate structuring, and regulatory sandboxes. Act as a legal representative in client interactions, business negotiations, and industry forums as required. Preferred candidate profile
