Job Description

Experience: Minimum 1 Year

Key Responsibilities

  • Statutory Compliance & Corporate Governance
  • Ensure the company complies with all statutory and regulatory requirements under the Companies Act, 2013, SEBI (LODR) Regulations, 2015, and other applicable laws for listed SMEs.
  • Act as the Compliance Officer, responsible for monitoring the share transfer process and reporting to the Board in each meeting.
  • Liaise with authorities such as SEBI, Stock Exchange, Registrar of Companies (ROC), and investors for implementation of various rules, regulations, and directives.
  • Prepare, review, and file statutory documents with government authorities, including ROC, SEBI, and other relevant bodies.
  • Arrange and manage Board and committee meetings, including preparation of agendas, minutes, and follow-up on action points.
  • Organize and conduct Annual General Meetings (AGMs) and other shareholder meetings.
  • Maintain and update statutory registers, records, and other documents as required by company law
  • Filing of MCA e-Forms with statutory authorities within prescribed timelines.
  • Identify and manage legal and compliance risks; implement mitigation strategies.
  • Develop and implement corporate policies and procedures to ensure adherence to best practices.
  • Prepare compliance reports for management and regulatory bodies.
  • Assist in internal and external audits related to secretarial and compliance functions.

Eligibility Criteria

  • Member of the Institute of Company Secretaries of India (ICSI) with valid ACS/FCS membership.
  • Atleast 1 years of post-qualification experience as Company Secretary, preferably in a listed company.
  • Experience with IPO/SME listing compliance and corporate governance will be an added advantage.
  • Strong knowledge of Companies Act, SEBI regulations, and other relevant laws applicable to listed SMEs.
  • Excellent communication, drafting, and organizational skills.

Job Types: Full-time, Permanent

Pay: ₹300,000.00 - ₹400,000.00 per year
